    Accountability
    The board sets the direction for organisational ethics and approves the code of conduct and this framework. It receives an annual ethics report covering breaches, training completion, protected disclosure usage, and key ethical risks. Management is responsible for day-to-day implementation, recruitment and performance alignment, and ensuring that protected disclosure channels are known and used without fear of reprisal.

    Embedding ethics
    Ethical risks relevant to us include conflicts of interest, bribery and corruption, fair treatment of stakeholders, and use of company assets. We address these through the code of conduct, declaration of interests and gifts policies, anti-bribery training, and performance objectives that include behavioural expectations. New joiners are trained on the code; all staff complete annual refresher training.

    Review
    This framework is reviewed by the board at least annually and when material ethical risks or structure change. It is published internally and referenced in our King IV apply-and-explain disclosure (Principle 2).
