    Example conversation

You: Draft a term sheet for our acquisition of Acme Co. Purchase price $12M, asset deal, 12-month rep survival, cap at 50% of price.

Agent: I’ve created deals/acme_term_sheet.md with parties, price, structure (asset purchase), key reps and conditions, indemnity cap and basket, and governing law. Running the validator.

Agent: Validation: OK for all sections. Ready for negotiation.

You: Add a no-shop and exclusivity period.
