When to use this skill
Use this skill when you are:
- Structuring an early-stage deal and want a clean, standard term sheet from a bullet list of key points before involving external counsel.
- Normalizing multiple drafts from different stakeholders (founders, investors, corporate dev, external counsel) into one consistent, negotiation-ready document.
- Running a completeness check before circulation to ensure no critical commercial or legal term is missing (price, structure, conditions precedent, indemnity, governing law).
- Comparing alternative deal structures (asset vs share deal, different valuation/cap tables) while keeping the same core term sheet template.
Typical users include corporate development teams, founders and executives, in-house counsel, and M&A or venture investors.
Getting Started
Add your term sheet draft (or key points) to the workspace and activate the skill. Run the validator to ensure parties, valuation, structure, reps, conditions, indemnity, and governing law are present.
