These Terms of Usage (“Terms”) govern your access to and use of the Rakenne platform at rakenne.app (“Service”), operated by Rakenne (“we”, “us”, “our”). By accessing or using the Service, you agree to be bound by these Terms.
Acceptance of Terms
By creating an account or using the Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Service.
Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete registration information and promptly notify us of any unauthorized use at support@rakenne.app .
Fees and Payment
Subscription and usage-based fees are as described on our pricing page . Paid plans are billed monthly in advance via our payment provider (Stripe). You must provide a valid payment method and keep it updated. We will give you at least 30 days’ notice of any price increase; if you do not accept the new price, you may cancel before it takes effect. We do not provide refunds except where required by law or as stated in an applicable SLA or plan. If payment fails or is overdue, we may suspend or downgrade your access after reasonable notice. Unless we state otherwise, all fees are exclusive of applicable taxes, which you are responsible for paying.
Bring Your Own Key
If you connect your own API key to use an LLM provider (e.g. Anthropic, OpenAI, or Google), you are responsible for your relationship with that provider, including costs, terms, and privacy. Rakenne is not liable for that provider’s acts, omissions, or data handling. You must comply with that provider’s terms of service and acceptable use policies.
Permitted Use
You may use the Service to create, edit, and manage documents and workflows for lawful purposes. You agree not to:
- Use the Service for any illegal or unauthorized purpose.
- Upload content you do not have the right to use or that contains others’ confidential information without authorisation.
- Use the Service to generate content for illegal or unauthorised purposes.
- Attempt to interfere with or disrupt the Service’s infrastructure.
- Reverse-engineer, decompile, or extract the source code of the platform, or attempt to probe, extract training data, or reverse-engineer the AI models or the Service beyond normal use.
- Share your account credentials with third parties.
- Upload content that infringes intellectual property rights or violates applicable law.
Use of the Service must be consistent with normal, individual or internal business use. We may impose reasonable use limits and may suspend or throttle access in case of abuse (e.g. reselling, scripted bulk generation beyond intended use, or circumventing usage limits).
Intellectual Property
The Service, including its software, design, and documentation, is owned by Rakenne and protected by intellectual property laws. You retain ownership of all content you create using the Service. By using the platform, you grant us a limited license to process and store your content solely to provide the Service.
No Professional Advice
The Service provides AI-assisted drafting and workflow support only. Outputs generated by the Service are drafts and do not constitute legal, tax, regulatory, audit, medical, or other professional advice. You are responsible for having outputs reviewed by qualified professionals where appropriate and for all decisions you make using them.
Accuracy and Reliance. Rakenne does not guarantee the accuracy, completeness, or suitability of any generated content. You are responsible for verifying and validating all content before use and for any reliance you place on it.
Indemnity
You will indemnify and hold Rakenne harmless from any claims, damages, and costs (including reasonable legal fees) arising from (a) your use of the Service or content, (b) your breach of these Terms, or (c) your violation of law or third-party rights, except to the extent the claim is caused by Rakenne’s gross negligence or wilful misconduct.
Limitation of Liability
To the maximum extent permitted by law, Rakenne shall not be liable for (a) your reliance on generated content or decisions taken from it, (b) acts or omissions of third-party providers (including LLM providers), including when you use Bring Your Own Key, or (c) any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you have paid for the Service in the twelve months preceding the claim.
Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account at any time by contacting support@rakenne.app . Upon termination, your right to use the Service ceases, though we may retain data as required by law.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.
Enterprise and Other Agreements
These Terms apply unless you have a separate written agreement with Rakenne (e.g. an enterprise agreement). In case of conflict between these Terms and such an agreement, the separate agreement prevails for that customer. Uptime commitments and any credits for eligible plans are as set out in the applicable plan, order form, or separate SLA.
Assignment
You may not assign these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Entire Agreement
These Terms and the documents referred to in them (including our Privacy Policy and pricing page) constitute the entire agreement between you and Rakenne regarding the Service and supersede any prior agreements or understandings.
Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.
Governing Law
These Terms are governed by the laws of Ireland, without regard to conflict of laws. The courts of Ireland have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service.
